# About SIVAX

SIVAX is an XRPL-based structured income platform built around an always-on fund product.

This product is designed as an always-on fund experience, making structured income easier to access, understand, and use on-chain. It operates as a continuously managed product rather than a fixed, one-time position.

> *<mark style="color:$info;">Our goal is to make structured income accessible, transparent, and usable on-chain.</mark>*

Users are required to repeatedly evaluate and manage their structured products. SIVAX aims to bridge this gap by building a fund-type product experience that stays active over time. It makes the user experience simpler, allowing them to continuously manage their income strategy without repeated decision-making.&#x20;

#### Core concept

SIVAX is an always-on product layer where users enter once, remain in the strategy, and follow a simpler experience while the portfolio continues operating in the background. This replaces the traditional way structured products are used:

<table><thead><tr><th>Traditional approach</th><th>SIVAX approach</th><th data-hidden></th></tr></thead><tbody><tr><td>One product at a time  </td><td>Always-on strategy  </td><td></td></tr><tr><td>Repeated decisions  </td><td>Single entry  </td><td></td></tr><tr><td>Manual management  </td><td>Continuous management  </td><td></td></tr></tbody></table>

The fund product is the core SIVAX experience. It is designed to provide ongoing participation in the strategy without requiring direct product construction.

{% hint style="info" %}
Custom-built structures may also be supported for specific use cases that require more direct control over payoff design, protection range, or other product terms. This capability remains separate from the core experience and is not the default path for most users.
{% endhint %}

#### How it works

SIVAX provides access to structured income through a continuously managed fund product. Users' capital is deployed into a live strategy that continuously allocates across opportunities over time.&#x20;

The strategy dynamically adjusts positions as market conditions evolve. The strategy layer handles:

* Allocation
* Reallocation
* Risk management

From the user perspective, the experience is simple:&#x20;

1. Connect a wallet
2. Enter the product
3. Follow performance
4. Exit when needed.

#### Why SIVAX exists

SIVAX exists because XRP lacks a usable income layer.

{% hint style="info" icon="circle-question" %}

#### Why XRPL

XRPL provides the foundation for a continuously managed income product by enabling efficient settlement, transparent asset movement, and ongoing strategy execution. This allows SIVAX to deliver a more usable and transparent experience.
{% endhint %}

Users today face a tradeoff between low-transparency centralized products and complex DeFi strategies that are difficult to verify or understand. SIVAX offers a different approach: structured income delivered through a continuous, on-chain product experience built on structured finance logic and designed to adapt over time.

The fund format reduces friction by removing the need for repeated selection, entry, and rebuilding of exposure, providing access to a continuously managed strategy.

# Why XRPFi

XRPFi matters because XRP lacks a usable income layer.

XRP has long been associated with payments, settlement efficiency, and fast asset movement. For the ecosystem to mature, it needs an income layer that users can stay in and understand.

> *SIVAX bridges that gap by contributing to a broader vision of XRPFi: building financial products that make holding XRP more useful, more productive, and more sustainable over time.*

Users face a tradeoff between centralized earn products and generic DeFi strategies, each with clear limitations.

| Centralized earn products | Generic DeFi yield strategies | SIVAX approach |
| ------------------------- | ----------------------------- | ------------------------------------------- |
| Feel simple | More open, but complex | Easier to access |
| Depend on custody | Opaque and hard to verify | Easier to follow |
| Limited transparency | Inconsistent or unstable | Better aligned with an always-on experience |
| Hard to inspect | Difficult to evaluate | Designed for clarity |

### The SIVAX Approach

XRPFi lacks a usable income layer that allows users to stay invested and benefit over time.&#x20;

The SIVAX approach is centered on a fund-type product rather than a sequence of isolated product decisions. Users enter a single product and remain in a strategy that operates over time, enabling continuous participation in a managed income strategy.

### Why XRPL

XRPL is a strong foundation for this model. A continuously managed income strategy depends on efficient settlement, transparent asset movement, and infrastructure that supports ongoing portfolio activity.&#x20;

It enables frequent asset movement, clear asset handling, and a more transparent operating environment than traditional structured product workflows.

For SIVAX, XRPFi is about giving users a product they can actually use:

* A simpler point of entry,
* Ongoing participation instead of repeated rebuilding,
* Visible portfolio status,
* And a structure that is designed to keep working as market conditions change.

### The Fund Product&#x20;

Structured income is a core part of XRPFi.

It shapes exposure through defined strategy logic, active allocation, and risk management across changing market conditions. SIVAX applies this within a managed product without exposing users to the full complexity of product construction.

The main XRPFi experience in SIVAX is the fund product, designed for users who want a managed and continuously operating income strategy.

{% hint style="info" %}
Custom-built structures may also be supported for qualified use cases that require more specific payoff design or product-level control. This remains a separate capability rather than the default experience.
{% endhint %}

A credible XRPFi layer connects asset ownership to a real financial experience, giving users a reason to remain active in the network through products designed for ongoing participation.

# How SIVAX Works

SIVAX works by giving users access to a continuously managed fund product, where capital is allocated across structured income opportunities and adjusted over time.

SIVAX is designed to make structured income easier to use through a continuously managed product experience. From the user’s perspective, the flow is simple:&#x20;

1. [Connect a wallet](/user-guide/how-to-connect-wallet-with-xaman)
2. [Enter the fund product](/user-guide/how-to-withdraw)
3. [Follow portfolio status](/user-guide/how-to-withdraw#withdrawal-completed)
4. [Exit when desired](/user-guide/how-to-withdraw)

Behind that experience, capital is managed within a live strategy that allocates, rebalances, and adjusts exposures over time.

{% stepper %}
{% step %}

#### Enter the Fund Product

The SIVAX experience begins when users enter a single product designed to remain active over time. The strategy operates continuously in the background, so users remain in the product without needing to re-enter or rebuild their position.
{% endstep %}

{% step %}

#### Capital Enters the Strategy

Once capital enters the product, it becomes part of a continuously managed portfolio. The strategy determines how capital is deployed across structured income opportunities and adjusts positioning as market conditions evolve.
{% endstep %}

{% step %}

#### Allocation Across Income Strategies

SIVAX allocates capital across multiple sources of income within a single product, including FCN-style structures, covered call strategies, and bond-like income opportunities depending on market conditions.
{% endstep %}

{% step %}

#### Allocation Adapts Over Time

The portfolio adapts to changing market conditions as the strategy adjusts how capital is allocated across different exposures. These include FCN-style structures, covered calls, reserve capital, and hedging activity.
{% endstep %}

{% step %}

#### Risk Management

As the strategy allocates across structured positions, it also manages the associated risks through rebalancing, hedging, and exposure adjustments. Yield generation and risk management operate together to keep the portfolio aligned with its objective.
{% endstep %}

{% step %}

#### Portfolio Tracking

The product remains active, and users follow portfolio status as the strategy operates in the background.
{% endstep %}

{% step %}

#### Exit at the Product Level

Users exit the fund product directly when they choose to leave. Entry and exit are handled at the product level, while portfolio construction, reallocation, and exposure management continue within the strategy.
{% endstep %}
{% endstepper %}

{% hint style="info" %}
Custom-built structures may be available for more advanced use cases, but are not part of the core experience.
{% endhint %}

### Model Overview

This model combines a simple and continuous user experience with a strategy that applies structured finance logic, active allocation, and dynamic risk management. The interface stays simple, while the strategy operates with full flexibility.

# Fund Product

An always-on fund product that allocates across multiple structured income strategies within a managed portfolio.

SIVAX’s core product is a fund-type structured income product that remains active over time. Once a user enters, their capital becomes part of a continuously managed strategy allocating across structured opportunities with ongoing reallocation and risk management. The product operates as a persistent experience while the user remains in the strategy.

The SIVAX Fund Product provides structured income exposure through an always-on portfolio. The strategy manages the selection of underlying structures, evaluating opportunities, allocating capital, and adjusting exposures to maintain yield aligned with market conditions. Users enter once and follow the portfolio as the strategy operates.

### How the Strategy Works

The product seeks yield through a combination of structured derivatives and income-oriented allocation strategies.

* FCN-style structures as a core source of income
* Covered call strategies to generate option premium
* Bond-like allocations for reserve or idle capital

The strategy adjusts how capital is positioned as market conditions evolve. Volatility, liquidity, option premium, and market direction influence how allocation shifts across FCN structures, covered calls, reserve capital, and hedging activity.

Risk management is integrated into the product. The strategy uses the following to manage exposure:

* Delta hedging
* Rebalancing
* Dynamic hedge adjustments

{% hint style="warning" %}
Risk management does not eliminate losses, but keeps exposure under control and supports portfolio stability.
{% endhint %}

### Product Experience

Traditional structured products require repeated selection, fixed maturities, and manual re-entry, creating friction for most users. SIVAX integrates these capabilities into a continuously managed product where the strategy handles sourcing, deployment, and adjustment.

> *Users stay in the product while the strategy manages everything underneath.*

The experience remains simple:

1. Connect a wallet
2. Enter the product
3. Follow portfolio status
4. Exit under applicable conditions

Strategy construction, allocation logic, hedging decisions, and product rotation remain inside the product.

### Fund vs Custom Structures

The fund product is the default experience, providing managed access to structured income without building individual positions. Custom structures may be supported for users who require:

* Specific payoff design
* Tenor control
* Protection levels

The fund focuses on managed participation, while custom structures enable direct product construction.

### Product Overview

A credible XRPFi layer requires a product users can stay in, like the SIVAX Fund Product.

By combining structured product capabilities, ongoing portfolio management, adaptive allocation, and risk control within a single product, SIVAX delivers a more durable, understandable, and usable income layer than both centralized earn products and one-off on-chain structures.

# How Yield Works

SIVAX generates yield through a managed mix of structured strategies, including FCN-style structures, covered calls, and bond-like allocations.

The SIVAX Fund Product generates yield through a managed strategy engine combining multiple income approaches across structured products, options-based positioning, reserve capital allocation, and risk-managed portfolio operations.&#x20;

The product allocates across these strategies to adapt to changing market conditions. Volatility, liquidity, skew, directional exposure, and option premium influence which income sources are more attractive over time.

### Yield Sources

**FCN-Style Structures**

FCN-style structures are a core source of yield within the product. Used under defined market conditions, they act as an internal yield source within the strategy, with income integrated directly into the portfolio without requiring users to evaluate or manage each structure individually..

**Call Income**

The portfolio may also generate income through covered call strategies. When conditions are suitable, the strategy uses call overwriting to collect option premium, adding a complementary source of yield.

**Reserve**

The strategy allocates reserve capital into bond-like income opportunities when appropriate, allowing capital to remain productive alongside structured and options-based strategies.

### Strategy Mechanics

Yield is also shaped by how the strategy manages exposure. The strategy combines hedging, option premium, funding spread, and execution to shape portfolio outcomes and manage payoff dynamics. This includes managing delta, volatility exposure, and other risk factors alongside core positions.

### For Users

For users, yield in SIVAX comes from a managed portfolio process. The product combines multiple structured income sources, adjusts allocation over time, and manages risk within the strategy, so users can remain in the product without having to manage each component themselves.

This allows users to remain in the product while the strategy handles the underlying complexity, supporting a more consistent and adaptable income profile.

# How Capital Is Allocated

SIVAX dynamically allocates capital across FCN-style structures, covered calls, reserve capital, and hedged exposures within a continuously managed portfolio.

{% hint style="info" %}
This page should be read together with the Dynamic Hedging page, where that part of the strategy is explained in more detail.
{% endhint %}

SIVAX operates as an active allocation engine within a continuously managed portfolio, allocating capital across structured income opportunities and adjusting positioning based on market conditions, portfolio needs, and strategy objectives.

Allocation is part of how the product works. Once capital enters the fund, the strategy determines how it is deployed across available opportunities. Allocation shifts across FCN-style structures, covered calls, reserve capital, and hedging based on market conditions.&#x20;

> The goal is to position the portfolio using the structures that best fit the environment.

### How the Strategy Adapts

SIVAX allocates capital based on market conditions, adjusting how it expresses income and risk as conditions evolve. The strategy considers:

<table><thead><tr><th width="267.546875">Factor</th><th>Role in Allocation</th></tr></thead><tbody><tr><td>Market volatility</td><td>Affects structure selection and payoff profile</td></tr><tr><td>Implied vs realized premium</td><td>Influences expected income opportunities</td></tr><tr><td>Directional exposure</td><td>Shapes positioning and hedge needs</td></tr><tr><td>Liquidity conditions</td><td>Impacts execution and allocation flexibility</td></tr><tr><td>Option pricing</td><td>Determines attractiveness of structured strategies</td></tr><tr><td>Downside risk</td><td>Guides protection and hedge intensity</td></tr><tr><td>Reserve capital role</td><td>Supports flexibility and portfolio balance</td></tr></tbody></table>

### Core Allocation Components

**FCN-style structures**

FCN-style structures are a core source of structured income within the fund. They represent a portion of the portfolio depending on market attractiveness, expected premium, portfolio balance, and their interaction with the rest of the strategy.

> *The objective is to integrate well-positioned FCN exposure within a diversified portfolio.*

**Covered calls**

Covered call strategies provide complementary income. The strategy allocates to call-overwriting when appropriate to generate premium income and diversify yield sources.

**Reserve capital**

Reserve capital may be allocated to bond-like opportunities when appropriate, keeping capital productive while supporting liquidity and flexibility. All capital remains part of the broader strategy.

### How It Works in Practice

Allocation and hedging operate together, with hedge positioning evolving alongside portfolio exposure. The portfolio adapts to changes in volatility, premium levels, hedging costs, and structure performance, allowing positioning to evolve over time.

For users, this process remains mostly invisible. The strategy continuously deploys capital, balances exposures, and responds to market conditions within the portfolio.

> *This allows users to remain in the product while the strategy handles the underlying complexity.*

What defines the product is how it is managed between entry and exit. This includes:

* Capital allocation
* Position rotation
* Reserve capital usage
* Structured exposure layering
* Overall portfolio alignment

# Dynamic Hedging

Dynamic hedging adjusts hedge positions as market conditions and portfolio exposures evolve, allowing the portfolio to manage risk while continuing to pursue yield.

Dynamic hedging is a core mechanism in how the SIVAX Fund Product manages risk over time. The portfolio does not maintain a fixed risk posture. As market conditions evolve, hedge positions are adjusted to keep the portfolio aligned with its objectives.&#x20;

> *Risk management evolves alongside the strategy within a continuously managed portfolio.*

### Why it Matters

The SIVAX Fund Product combines structured positions, options strategies, reserve capital, and active portfolio management, resulting in exposures that evolve over time.

FCN-style structures, covered calls, and other derivatives expose the portfolio to direction, volatility, and asymmetric payoffs. Without adjustment, these exposures can shift the portfolio away from its intended risk profile. Dynamic hedging keeps that exposure aligned over time. It supports yield quality by allowing the strategy to pursue income in a more stable and repeatable way.

### How It Works

> *The portfolio is always moving, so the hedge moves with it.*

Allocation changes affect portfolio exposure, while volatility changes affect how positions behave. Changes in premium, skew, or market direction influence the balance between income and risk.

Dynamic hedging responds to these changes by adjusting hedge positions over time, based on price movement, volatility, portfolio composition, liquidity, and market sensitivity.

### How It Fits the Strategy&#x20;

Dynamic hedging is part of the strategy engine.

SIVAX allocates across FCN-style structures, covered calls, reserve capital, and other structured opportunities. This shapes the portfolio’s risk profile, while hedging manages the resulting exposure.

Delta hedging is one of the main tools used in this process, adjusting the portfolio’s sensitivity to price movements as exposure changes.

Yield generation and risk management operate together, with income creating opportunities and hedging managing how the portfolio behaves over time.

{% hint style="warning" %}
It helps manage risk, but does not eliminate losses.
{% endhint %}

# Custom Structures

Custom Structures is SIVAX’s tailored product capability for use cases that require specific payoff design and greater control than the core fund product.

In addition to its core fund product, SIVAX supports custom-built structures for users who require more direct control over product design.

This applies to cases where a standard fund format is not suitable. Requirements may include specific payoff profiles, defined protection ranges, tailored risk budgets, or alignment with treasury and operational objectives.

### Fund Product vs Custom Structures

Custom structures are not the default SIVAX experience.

The core product is a continuously managed fund that provides ongoing access to structured income without requiring users to manage individual positions. Custom structures sit alongside it as a separate capability for more specific use cases. These two product paths serve different needs:

<table><thead><tr><th width="164.49609375">Product Type</th><th width="194.890625">Purpose</th><th width="133.4296875">Control Level</th><th>Experience</th></tr></thead><tbody><tr><td>Fund Product</td><td>Managed participation</td><td>Low</td><td>Continuous, hands-off</td></tr><tr><td>Custom structures </td><td>Tailored construction</td><td>High</td><td>Designed per specific requirements</td></tr></tbody></table>

> The fund product focuses on simplicity and continuity, while custom structures provide flexibility and control.

### What Can Be Customized

Custom structures are built around specific objectives, constraints, and product rules. They may include:

* Principal-protected or risk-bounded designs
* Custom payoff profiles
* Tenor preferences
* Barrier, trigger, or observation conditions
* Capital protection levels
* Income- or treasury-focused objectives
* Policy or mandate-driven risk constraints&#x20;
* Reporting or operational requirements

This provides a level of specificity beyond what a shared fund product is designed to offer.

### When to Use

Custom structures are used for cases that require product-level specificity, mandate alignment, or a tailored operating framework. This includes treasury, distribution, and partner-led structures, or situations where a standard product format is not sufficient. They are designed around defined objectives or constraint sets.

Custom structures involve a more controlled process than the core fund product, including design, review, approval, issuance, reporting, and ongoing monitoring. They require more than a different payoff shape, with closer alignment on documentation, operating parameters, eligibility, and governance over time. They represent a more specific product path rather than a broader version of the core product.

### Requirements

Custom structures may require a more formal participation framework. This can include:

• Permissioned access

• KYC or whitelist requirements

• Jurisdictional or policy controls

• Controlled issuance paths

• Formal reporting expectations

• Additional operational documentation

They define not only payoff design, but also how the product is controlled, delivered, monitored, and documented.

# Reporting

SIVAX provides visibility, controls, and reporting to make an always-on fund product easier to understand and manage.

SIVAX provides visibility, controls, and reporting to make an always-on fund product easier to understand and manage.

The SIVAX Fund Product is an always-on strategy where users follow a continuously managed portfolio. Reporting provides a clear view of portfolio status, participation state, and how the strategy is being managed.

### What Users See

Reporting focuses on making the product understandable at a portfolio level:

|                    |                                       |
| ------------------ | ------------------------------------- |
| Participation | Whether participation is active |
| Portfolio Position | How the product is positioned overall |
| Strategy Evolution | How the strategy changes over time |
| Risk & Controls | How risk and controls fit into design |

Users are not expected to track each underlying position, but they should be able to understand the state of the product they are in.

### How the Product Is Managed

Reporting reflects how the product operates over time. The focus is on the overall portfolio rather than individual structures:

* Participation status
* Allocation posture at a high level
* How the strategy is adapting to market conditions

Controls are part of the product engine and include:

* Allocation discipline
* Hedging
* Reserve capital management
* Monitoring and operations

{% hint style="warning" %}
Returns are not fixed, risk is not eliminated, and performance is not guaranteed. Reporting shows how the product is managed, not what it will deliver.
{% endhint %}

### Core vs Custom Controls

Controls differ depending on the product type.

For the core fund product, controls focus on maintaining a disciplined operating framework. For custom structures, controls are more formal and may include:

* Review
* Governance
* Permissioning
* KYC
* Jurisdictional constraints
* Structured reporting

This reflects two product paths: a managed fund product for broad participation, and custom structures for more controlled use cases.

{% hint style="info" %}
Existing SIVAX pages already describe allocation, hedging, and rebalancing as ongoing parts of the strategy rather than occasional adjustments.

### 6. Blockchain and Public Ledger Notice

Certain elements of the Services may rely on public blockchain networks, including XRPL-related infrastructure. Information recorded on a public blockchain may be visible to others and may be difficult or impossible to delete, modify, or fully anonymize after publication.

Accordingly, while we may limit the personal data we directly collect and store, wallet addresses and blockchain transaction data associated with your use of the Services may remain publicly accessible on the relevant network.

### 7. International Data Transfers

Because we may use globally distributed infrastructure and service providers, your information may be processed or stored in jurisdictions other than your own, including jurisdictions that may not provide the same level of legal protection as your home jurisdiction.

Where required, we take commercially reasonable steps to implement appropriate safeguards for such transfers.

### 8. Data Retention

We retain information for as long as reasonably necessary to:

* provide the Services
* maintain business and operational records
* comply with legal, regulatory, tax, accounting, audit, and enforcement requirements
* resolve disputes
* enforce our agreements

Retention periods may vary depending on the type of information, the reason we collected it, and applicable legal obligations. Information may be retained longer where required for compliance, fraud prevention, or legitimate recordkeeping purposes.

### 9. Your Rights

Subject to applicable law, you may have the right to request:

* access to your personal data
* correction of inaccurate or incomplete personal data
* cancellation or deletion of certain personal data
* objection to certain processing
* withdrawal of consent where processing is based on consent

Under Panama’s data protection framework, individuals may have ARCO rights: **Access, Rectification, Cancellation, and Opposition**. These rights may be subject to legal exceptions, including where retention or processing is required for legal compliance, security, fraud prevention, or recordkeeping.

To exercise these rights, contact us using the details in the “Contact Us” section below. We may request additional information to verify your identity before responding.

### 10. Children’s Privacy

The Services are not directed to children, and we do not knowingly collect personal information from minors in violation of applicable law. If you believe that a child has provided personal information to us inappropriately, please contact us so we can review and take appropriate action.

### 11. Security

We use commercially reasonable administrative, technical, and organizational safeguards designed to protect information from unauthorized access, disclosure, alteration, or destruction. However, no system, transmission method, or storage environment is completely secure.

You are responsible for maintaining the confidentiality and security of your wallet, private keys, devices, passwords, and authentication credentials. SIVAX does not control third-party wallets or blockchain networks and is not responsible for failures, exploits, or security incidents arising from them.

### 12. Third-Party Services

The Services may contain links to, or integrations with, third-party websites, wallets, custodians, exchanges, analytics providers, or other services. We are not responsible for the privacy, security, or data handling practices of those third parties. You should review their policies separately before using their services.

### 13. Changes to This Policy

We may update this Policy from time to time. If we make material changes, we may provide notice through the Services or by other appropriate means. The “Last Modified” date at the top of this Policy indicates when this version became effective.

Your continued use of the Services after an updated Policy becomes effective constitutes acknowledgement of the revised Policy, to the extent permitted by law.

### 14. Contact Us

# Terms of Service

Last Modified: April 11, 2026

These Terms of Service (“Terms”) constitute a legally binding agreement between **SIVAX** (“SIVAX,” “Company,” “we,” “us,” or “our”) and the person or entity accessing or using our website, applications, platform, interfaces, and related services (collectively, the “Services”).

The Services are designed to provide access to SIVAX’s wallet-based, XRPL-related structured income and related product functionality. By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Services.

### 1. Eligibility

By using the Services, you represent and warrant that:

* you are at least the age of legal majority in your jurisdiction
* you have the legal capacity to enter into a binding agreement
* you are not located in, organized in, ordinarily resident in, or otherwise subject to any jurisdiction where access to or use of the Services would be prohibited by applicable law
* you are not a person or entity subject to applicable sanctions, embargoes, blocked-person restrictions, or other legal prohibitions administered by Panama, the United States, the United Nations, or any other relevant authority
* your access to and use of the Services complies with all applicable laws and regulations, including applicable anti-money laundering, sanctions, consumer protection, tax, and data protection laws

SIVAX may restrict, suspend, or refuse access to the Services where required for legal, compliance, security, or risk-management reasons. Panama’s data protection and AML frameworks include Law 81 of 2019 and Law 23 of 2015.

### 2. Nature of the Services

SIVAX is presented in its current product materials as a **structured income platform on XRPL**, with wallet-based access, deposit and withdrawal flows, and structured product functionality rather than a generic custodial investment service.

The Services may include, without limitation:

* website and application interfaces
* wallet connection functionality
* product information, dashboards, notifications, and reporting tools
* access to deposit, withdrawal, subscription, redemption, settlement, or lifecycle-related functionality
* integrations, APIs, and related digital tools made available by SIVAX

The Services may evolve over time, and not all features may be available in all jurisdictions or to all users.

### 3. Non-Custodial Access; Wallet Responsibility

Certain Services require you to use a third-party wallet. SIVAX’s current user documentation describes the platform as operating through external wallet connection, including user-confirmed wallet actions.

You acknowledge and agree that:

* SIVAX does not hold, store, or control your private keys, seed phrases, or wallet credentials
* you are solely responsible for the security of your wallet, devices, credentials, and transaction approvals
* blockchain transactions may be irreversible
* SIVAX cannot recover digital assets, private keys, or transactions lost due to user error, wallet compromise, incorrect addresses, protocol conditions, or third-party failures

### 4. No Investment, Legal, or Tax Advice

Information provided through the Services is for general informational purposes only and does not constitute investment advice, legal advice, tax advice, accounting advice, or a recommendation to enter into any transaction.

You are solely responsible for evaluating the suitability, legality, and risks of any transaction, product, or strategy. SIVAX’s existing risk disclosure language already states that no financial outcomes are guaranteed and that users should not rely solely on platform statements when deciding whether to use the Services.

### 5. Risk Disclosure

By using the Services, you acknowledge and accept significant risks associated with blockchain-based products and digital assets, including:

* price volatility and market risk
* liquidity risk
* smart contract, protocol, or oracle failure
* wallet or key compromise
* network congestion, forks, or technical malfunctions
* inaccurate, delayed, or unavailable third-party data
* regulatory or legal uncertainty
* the risk of partial or total loss

Where the Services involve structured income, note-like, vault-based, or other defined-outcome product flows, you acknowledge that such products may involve product-specific conditions, payout rules, timing constraints, eligibility requirements, or redemption mechanics. SIVAX materials describe product flows involving subscription, payout, redemption, monitoring, and lifecycle events.

Nothing in the Services guarantees yield, returns, principal preservation, profitability, or availability.

### 6. Third-Party Services and Dependencies

The Services may rely on or interoperate with third-party services, including wallets, blockchain networks, custodians, exchanges, bridges, analytics providers, communications providers, and data or infrastructure vendors.

SIVAX does not own or control such third-party services and is not responsible for their availability, performance, security, legality, or policies. Your use of third-party services is governed by their separate terms and policies.

### 7. User Responsibilities and Prohibited Conduct

You agree that you will not, directly or indirectly:

* violate any applicable law, regulation, sanctions regime, or court order
* use the Services for fraud, market abuse, money laundering, terrorist financing, sanctions evasion, or other unlawful activity
* interfere with, disrupt, attack, overload, or compromise the integrity or security of the Services or related systems
* attempt unauthorized access to accounts, wallets, networks, APIs, or infrastructure
* upload or distribute malicious code, malware, spyware, or harmful material
* misrepresent your identity, eligibility, jurisdiction, or authority
* infringe any intellectual property, privacy, publicity, or contractual rights
* use the Services in a manner that could expose SIVAX, its users, or counterparties to legal, regulatory, reputational, or security risk

You are also solely responsible for determining and paying any taxes arising from your use of the Services.

### 8. Compliance, Monitoring, and Restrictions

SIVAX may implement compliance, security, and operational controls, including wallet screening, sanctions checks, geofencing, transaction monitoring, account restrictions, or access limitations where appropriate. SIVAX’s product and roadmap materials explicitly refer to compliant distribution paths, permissioned issuance, KYC-enabled or whitelisted distribution, and audit-ready reporting.

Accordingly, SIVAX may, in its sole discretion and to the extent permitted by law:

* monitor use of the Services
* request information reasonably necessary for compliance review
* deny, suspend, restrict, or terminate access
* report relevant activity to authorities or counterparties where legally required

### 9. Intellectual Property

Unless otherwise stated, the Services, including their software, design, text, graphics, trademarks, logos, branding, interfaces, and related content, are owned by SIVAX or its licensors and are protected by applicable intellectual property laws.

Subject to your compliance with these Terms, SIVAX grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable right to access and use the Services for their intended purpose.

You may not copy, modify, distribute, sell, lease, reverse engineer, decompile, scrape, mirror, or otherwise exploit the Services except as expressly permitted by law or by SIVAX in writing.

### 10. No Warranty

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

SIVAX DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, OR THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

### 11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SIVAX AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, DIGITAL ASSETS, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF SIVAX FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS SHALL NOT EXCEED ONE HUNDRED UNITED STATES DOLLARS (USD $100).

Some jurisdictions do not permit certain liability exclusions or limitations, so some of the above may not apply to you.

### 12. Indemnification

You agree to defend, indemnify, and hold harmless SIVAX and its affiliates, officers, directors, employees, contractors, agents, licensors, and service providers from and against any claims, liabilities, damages, losses, judgments, costs, and expenses, including reasonable legal fees, arising out of or related to:

* your breach of these Terms
* your misuse of the Services
* your violation of applicable law or third-party rights
* your fraud, negligence, misconduct, or unauthorized use of wallets, credentials, or blockchain infrastructure

### 13. Modifications to the Services or Terms

SIVAX may modify, suspend, discontinue, or update any part of the Services at any time, with or without notice, subject to applicable law.

We may also revise these Terms from time to time. When we do, we will update the “Last Modified” date above. Your continued use of the Services after revised Terms become effective constitutes your acceptance of the updated Terms, to the extent permitted by law.

### 14. Suspension and Termination

SIVAX may suspend or terminate your access to the Services at any time, temporarily or permanently, if:

* we believe you have violated these Terms
* we are required to do so for legal or regulatory reasons
* your use presents fraud, sanctions, AML, security, reputational, or operational risk
* providing the Services is no longer commercially or technically feasible

Termination or suspension does not limit any rights or remedies available to SIVAX under law or equity.

### 15. Governing Law and Dispute Resolution

These Terms and any non-contractual obligations arising out of or in connection with them shall be governed by the laws of the Republic of Panama, without regard to conflict-of-law principles.

Any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall be resolved by arbitration in Panama City, Panama, administered by the **Center for Conciliation and Arbitration of Panama (CeCAP)** in accordance with its applicable rules. CeCAP publicly states that arbitration proceedings are governed by its arbitration regulation and Panama’s arbitration law framework, including Law 131 of 2013.

The language of the arbitration shall be English, unless otherwise required by applicable law or agreed by the parties. Judgment on the arbitral award may be entered in any court of competent jurisdiction.

### 16. Miscellaneous

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect.

These Terms constitute the entire agreement between you and SIVAX regarding the Services, except where additional terms expressly apply.

No waiver of any provision shall be deemed a further or continuing waiver of that provision or any other provision.

Nothing in these Terms creates any partnership, joint venture, agency, fiduciary, or employment relationship between you and SIVAX.

# General Risk Disclosures

Last Modified: April 11, 2026

This General Risk Disclosures statement (“Statement”) provides a high-level overview of certain risks associated with accessing or using **SIVAX** (“SIVAX,” “Company,” “we,” “us,” or “our”) and our website, applications, platform, interfaces, and related services (collectively, the “Services”).

This Statement is provided for informational purposes only and does not constitute financial, investment, legal, tax, or other professional advice. It is not exhaustive and does not describe every risk that may arise in connection with digital assets, blockchain networks, wallet usage, structured income products, or related transactions.

**THE RISK OF LOSS IN CONNECTION WITH DIGITAL ASSETS, BLOCKCHAIN-BASED PRODUCTS, AND RELATED TRANSACTIONS CAN BE SUBSTANTIAL. YOU SHOULD CAREFULLY CONSIDER WHETHER USE OF THE SERVICES IS APPROPRIATE FOR YOUR FINANCIAL CONDITION, INVESTMENT OBJECTIVES, LEVEL OF EXPERIENCE, AND RISK TOLERANCE.**

### 1. No Guarantee of Outcomes

SIVAX does not guarantee any financial outcome, return, yield, profit, liquidity, principal preservation, or continued availability of the Services.

You should not rely solely on statements made by SIVAX, whether in this Statement, on the platform, in product materials, or in communications, when deciding whether to access or use the Services. Any decision to engage with the Services is made at your own risk.

### 2. Nature of the Services

SIVAX is designed as a wallet-based, XRPL-related structured income and related product service. The Services may involve deposits, subscriptions, withdrawals, settlement flows, redemption mechanics, monitoring tools, and other product lifecycle functionality.

Because the Services may involve defined-outcome, note-like, vault-based, or other structured product features, additional product-specific risks may apply depending on the structure, parameters, timing, and conditions of a particular product or transaction.

### 3. Technical and Smart Contract Risks

The Services may rely on software, smart contracts, automation logic, event processing, pricing inputs, and related technical infrastructure. Such systems may contain bugs, vulnerabilities, design defects, coding errors, logic failures, exploits, or unforeseen interactions.

Any such failure may result in, among other things:

* delays or failures in execution
* inaccurate balances, reporting, or transaction states
* inability to access or use the Services
* unexpected outcomes in product lifecycle events
* partial or total loss of digital assets or economic value

SIVAX cannot guarantee that any software, contract logic, or technical system will be uninterrupted, error-free, secure, or immune from attack.

### 4. Blockchain Network Risks

The Services may depend on the XRP Ledger (“XRPL”) and, in some cases, other blockchain-related infrastructure or connected environments.

Public blockchain networks may be affected by:

* congestion or reduced throughput
* validator or network failures
* forks, upgrades, rule changes, or governance disputes
* finality or confirmation delays
* transaction ordering issues
* broader systemic failures outside SIVAX’s control

These events may impair the availability, timing, value, or functionality of the Services and may affect your ability to complete transactions or realize expected outcomes.

### 5. Wallet and Credential Risks

The Services may require you to connect and use a third-party wallet. SIVAX is non-custodial with respect to your private keys, seed phrases, wallet credentials, and transaction approvals.

You are solely responsible for:

* securing your wallet, devices, and credentials
* reviewing transaction details before approval
* maintaining access to your wallet and recovery methods
* ensuring that transactions are sent to the correct addresses and through the correct interfaces

Loss, theft, compromise, misuse, or unauthorized access to your wallet, private keys, seed phrase, device, or credentials may result in irreversible loss of assets. SIVAX cannot recover private keys, reverse blockchain transactions, or restore assets lost due to user error or third-party compromise.

### 6. Cybersecurity Risks

Use of the Services may expose you to cybersecurity risks, including phishing, malware, ransomware, social engineering, spoofed interfaces, denial-of-service attacks, validator attacks, oracle manipulation, API abuse, front-end compromise, and other malicious activity.

Bad actors may attempt to exploit vulnerabilities in software, infrastructure, wallets, devices, networks, or user behavior. Even where commercially reasonable safeguards are used, no digital environment is completely secure.

### 7. Market, Volatility, and Liquidity Risks

Digital assets are highly volatile and may lose value rapidly, including to zero. Prices may fluctuate significantly due to market sentiment, liquidity conditions, leverage, macroeconomic developments, technology changes, regulatory developments, protocol events, or other factors.

You may also face liquidity risk. There may be insufficient market depth, limited counterparties, impaired secondary liquidity, or significant slippage. As a result, you may be unable to exit a position, redeem at an expected time, or convert assets into other forms of value without loss.

### 8. Product Structure and Valuation Risks

If the Services include structured income, note-like, or other defined-outcome products, the economic result of a transaction may depend on specific product terms, including:

* tenor or maturity
* coupon or payout conditions
* observation schedules
* barriers, caps, buffers, or triggers
* redemption timing
* reference asset performance
* operational or eligibility conditions

Valuation may be affected by market volatility, time decay, correlation, liquidity, execution assumptions, data availability, hedging costs, model limitations, or extraordinary market events. Product values may differ from user expectations, indicative scenarios, historical behavior, or prior estimates.

### 9. Oracle, Data, and Calculation Risks

Certain aspects of the Services may depend on price feeds, reference rates, event data, market data, external APIs, or other third-party information.

Such inputs may be delayed, inaccurate, incomplete, unavailable, manipulated, or inconsistent across sources. Where calculations, triggers, payout conditions, or reporting rely on such data, errors or interruptions may affect outcomes, timing, or your ability to act.

### 10. Third-Party Service Risks

The Services may rely on or interoperate with third-party wallets, custodians, infrastructure providers, exchanges, bridges, communications tools, analytics vendors, security providers, or other independent services.

SIVAX does not own or control such third-party services and is not responsible for their acts, omissions, failures, insolvency, outages, errors, security incidents, or policies. Your use of third-party services is subject to their separate terms and policies.

### 11. Public Blockchain Transparency and Irreversibility

Blockchain transactions are generally irreversible once confirmed. If you approve or submit an incorrect transaction, interact with the wrong address, or use a compromised interface or wallet, SIVAX may have no ability to reverse the transaction or recover the transferred assets.

In addition, blockchain networks are generally public. Wallet addresses, transaction hashes, timestamps, and related on-chain activity may be visible to others and may be difficult or impossible to delete or fully anonymize.

### 12. Legal and Regulatory Risks

The legal and regulatory treatment of digital assets, blockchain-based products, structured products, wallets, sanctions controls, and related services remains uncertain and may change rapidly across jurisdictions.

Changes in applicable law, regulation, enforcement priorities, judicial interpretation, licensing expectations, tax treatment, sanctions rules, or compliance requirements may:

* restrict or prohibit access to the Services
* require modifications to product design or availability
* affect the legality or economic value of certain transactions
* result in suspension, limitation, or termination of access

SIVAX may take actions it considers necessary or appropriate to comply with legal, regulatory, or risk-management obligations.

### 13. Tax Risks

Your use of the Services may have tax consequences, including income, capital gains, withholding, transaction, reporting, or indirect tax consequences, depending on your jurisdiction and the nature of your activity.

You are solely responsible for determining what taxes apply to you and for reporting and paying any applicable taxes. SIVAX does not provide tax advice.

### 14. No Fiduciary Relationship

SIVAX does not act as your broker, investment adviser, fiduciary, agent, attorney, or financial planner, unless expressly stated otherwise in a separate written agreement.

No content, communication, product description, market commentary, scenario illustration, dashboard output, or support response should be interpreted as personalized financial, legal, tax, or investment advice, or as a recommendation to enter into any transaction.

### 15. User Responsibility

You are solely responsible for evaluating whether use of the Services is lawful and appropriate in your jurisdiction and for your circumstances.

Before using the Services, you should ensure that you:

* understand the relevant product mechanics and transaction flow
* understand the risks of digital assets and blockchain infrastructure
* can bear the risk of partial or total loss
* have obtained independent legal, tax, accounting, or financial advice where appropriate

### 16. Changes to This Statement

We may revise or update this Statement from time to time. When we do, we will update the “Last Modified” date above. Your continued use of the Services does not reduce or eliminate the risks described in this Statement.

### 17. Contact Us

SIVAX is not your broker, agent, fiduciary, investment adviser, attorney, or tax adviser, unless expressly agreed in a separate written agreement.

No communication or interaction with SIVAX creates any fiduciary duty or special advisory relationship.

### 8. Limitation of Reliance
